ACA Southeastern By-Laws Revision!

Dear ACA Southeastern Member,

Just a year ago, the membership of ACA Southeastern approved a revised set of by-laws.  As they have been reviewed once again, the Board is asking the membership to approve a slight revision to these by-laws.

Currently our by-laws state:

Article III, Section 4:  The Section shall have no authority to bind the ACA (meaning ACA, Inc) to any financial or legal obligation. 

As ACA, Southeastern is NOT an incorporated entity, we fall under the Group Tax exemption of ACA, Inc.  Technically, we obligate ACA, Inc. whenever we sign a contract for our conference hotel, lease a room for a Standards Course, lease our office space, etc.

According to the Charter Agreement (which is the document that “ties” the Sections and National): “The Section agrees not to contract any obligations in the name of ACA, nor to use ACA’s credit in conducting any activities under the Charter, except upon the express written authority of ACA’s Executive Director.”

It is the line “except upon the express written authority of ACA’s Executive Director” that allows ACA, Southeastern to lease the office, etc.

THEREFORE, the following amendment to the ACA Southeastern’s By-laws has been recommended: Article III, Section 4 would read:

The Section shall have no authority to bind ACA, Inc. except as stated in the Charter Agreement. 

We will be voting on this amendment at the business meeting of ACA Southeastern members being held at the National Conference in Austin, TX on February 15 (6:45 – 7:45 am).
